BTS 2118/2010 May 6, 2010 Subject: Change of Record Date, book closure date and offering period for shares offered to existing shareholders (Notification of the Additional Change) To: President The Stock Exchange of Thailand Reference: The Company's letter re: Change of Record Date, book closure date and offering period for shares offered to existing shareholders dated May 6, 2010 Whereas BTS Group Holdings Public Company Limited (formerly known as Tanayong Public Company Limited) (the "Company") notified the change of the Record Date to determine the names of shareholders who are entitled to the allocation of the newly issued ordinary shares of the Company pro rata to their shareholding (Right Offering) to be on May 14, 2010, and the date to collect the names of shareholders in accordance with Section 225 of the Securities and Exchange Act B.E. 2535 (as amended) by means of the closure of the shares register book and the suspension of the share transfer to be on May 17, 2010 and determination of the period of the offering of the newly issued ordinary shares to the existing shareholders of the Company pro rata to their shareholding (Right Offering) to be from May 31, 2010 to June 7, 2010, as described in the referenced letter. The Company would like to make further notification in respect of the details relating to the allocation of the newly issued ordinary shares to the existing shareholders of the Company and the allocation of the warrants representing the rights to purchase the newly issued ordinary shares of the Company (TYONG-W2) ("TYONG-W2 Warrant") by providing additional statement in item 1) of the referenced letter as follows: "In allocating the newly issued ordinary shares to the existing shareholders of the Company, the Company will allocate such shares to the existing shareholders whose names appear in the shares register book as at May 17, 2010, and in the case that any existing shareholder of the Company has subscribed for the said newly issued ordinary shares, such shareholder will receive the allocation of the warrants representing the rights to purchase the newly issued ordinary shares of the Company (TYONG-W2) ("TYONG-W2 Warrant") at no cost at the ratio of 4 subscribed newly issued ordinary shares per 1 warrant and the exercise price for the subscription of the newly issued ordinary shares of the Company will be at Baht 0.70 per share." Accordingly, the details in the information memorandum in which the Company notified the change of Record Date, book closure date and offering period for shares offered to existing shareholders to the Stock Exchange of Thailand will be as follows: "1) To change the Record Date to determine the names of shareholders who are entitled to the allocation of the newly issued ordinary shares of the Company pro rata to their shareholding (Right Offering) to be on May 14, 2010, and to change the date to collect the names of shareholders in accordance with Section 225 of the Securities and Exchange Act B.E. 2535 (as amended) by means of the closure of the shares register book and the suspension of the share transfer to be on May 17, 2010. In allocating the newly issued ordinary shares to the existing shareholders of the Company, the Company will allocate such shares to the existing shareholders whose names appear in the shares register book as at May 17, 2010, and in the case that any existing shareholder of the Company has subscribed for the said newly issued ordinary shares, such shareholder will receive the allocation of the warrants representing the rights to purchase the newly issued ordinary shares of the Company (TYONG-W2) ("TYONG-W2 Warrant") at no cost at the ratio of 4 subscribed newly issued ordinary shares per 1 warrant and the exercise price for the subscription of the newly issued ordinary shares of the Company will be at Baht 0.70 per share; and 2) To change the period of the offering of the newly issued ordinary shares to the existing shareholders of the Company pro rata to their shareholding (Right Offering) to be from May 31, 2010 to June 7, 2010."
