TY 2105/2010 re: determination of other details with regard to the allocation of the newly issued ordinary shares dated April 29, 2010 Whereas BTS Group Holdings Public Company Limited (formerly known as Tanayong Public Company Limited and registered the change of company name on May 4, 2010) (the "Company") notified the determination of the Record Date to collect the names of shareholders who are entitled to the allocation of the newly issued ordinary shares of the Company pro rata to their shareholding (Right Offering) to be on May 13, 2010, and the date to collect the names of shareholders in accordance with Section 225 of the Securities and Exchange Act B.E. 2535 (as amended) by means of the closure of the shares register book and the suspension of the share transfer to be on May 14, 2010 and determination of the period of the offering of the newly issued ordinary shares to the existing shareholders of the Company pro rata to their shareholding (Right Offering) to be from May 27, 2010 to June 7, 2010. However, currently the Company is in the process of listing the 28,166,879,984 newly issued shares with the Stock Exchange of Thailand and in order to provide flexibility to the time schedule, the Executive Committee of the Company has a resolution on May 4, 2010 to change the Record Date, book closure date and offering period for shares offered to existing shareholders to be as follows: (1) To change from the Record Date to collect the names of shareholders who are entitled to the allocation of the newly issued ordinary shares of the Company pro rata to their shareholding (Right Offering) on May 14, 2010, to the Record Date to collect the names of shareholders in accordance with Section 225 of the Securities and Exchange Act B.E. 2535 (as amended) by means of the closure of the shares register book and the suspension of the share transfer on May 17, 2010; and (2) To change the period of the offering of the newly issued ordinary shares to the existing shareholders of the Company pro rata to their shareholding (Right Offering) to be from May 31, 2010 to June 7, 2010.
