         <description><![CDATA[ <p><strong>Khun Keeree Kanjanapas, </strong>Chairman of BTS Group Holdings Public Company Limited presented cheque amount of 500,000 Baht to <strong>General Prawith Wongsuwan</strong> (4<sup>th</sup> left ), Chairman of Five Bordering Forest Preservation Foundation. The fund will be used to support the operation of Five Provinces Bordering Forest Preservation Project ( Eastern), under the Royal Initiative of Her Majesty Queen Sirikit.          <title><![CDATA[ 22 February 2012, BTS Group organized 'Bring Smiles Back to School ' CSR  activity ]]></title>

         <description><![CDATA[ Staff of the BTS Group and subsidiary companies, led by <strong>Mr.Rangsin Kritalug</strong>,&nbsp; Executive Director &amp; Chief Operating Officer of BTS Group; <strong>Mr.Surapoong Laoha-Unya</strong> Director &amp; Chief Operating Officer of the BTS SkyTrain and <strong>Ms.Patchaneeya Sukcharoen</strong>, Director of Corporate Communications of BTS Group participated in&nbsp; a&nbsp; CSR activity entitled&nbsp; ' <strong>Bring Smiles Back to School</strong> ' at Wat Song Plu school in Nontaburi province. The&nbsp; activity was part of&nbsp; the&nbsp;&nbsp; ' Power of Thai '&nbsp;&nbsp; project , aimed&nbsp; at supporting the&nbsp; rehabilitation of&nbsp; 84&nbsp; flood affected schools in&nbsp; and around Bangkok.          <description><![CDATA[ As part of the CSR activities of the BTS Group,<strong> Mr. Rangsin Kritalug</strong> Executive Director &amp; Chief Operating Officer of BTS Group Holdings Public Company Limited, recently presented a cash donation of Baht <strong>2,000,00</strong>0 to the&nbsp; <strong>' Thai Stock Market Flood Relief Fund ' </strong>.          <title><![CDATA[ 13 November 2011, BTS Group operated a mobile canteen, to support flood relief efforts. ]]></title>

         <description><![CDATA[ During recent floods, BTS Group operated a mobile kitchen and provided 1,000 cooked food boxes and other daily necessities to residents of Nontaburi and surrounding areas, who had been suffering from the severe flooding in their areas. In addition, Bangkok Hospital and Vibhavadi Hospital provided free medical check-up facilities at BTS stations and at The Federation of Savings and Credit Cooperatives of Thailand Limited on Nakorn-In Road, which was in operation from the 7th to 13th November 2011.&nbsp; Catering and logistic support was provided by staff and vehicles of the 2nd Anti-aircraft Artillery Regiment of the Royal Thai Army.<br /><br />Photo taken at the mobile kitchen shows from left :<strong> Col.          <title><![CDATA[ 12 October 2011, Progress on the 5.3 km SkyTrain Silom Line Extension ( Wongwian Yai  ]]></title>

         <description><![CDATA[ <p>At a ceremony held recently at the Ballroom of the Eastin Makkasan Hotel Bangkok, the Operational and Maintenance Services&nbsp; Agreement for the Bangkok Mass Transit Project&nbsp; 5.3 km Silom Line Extension&nbsp; &nbsp;(Wongwian Yai &ndash; Bang Wa )&nbsp;,&nbsp; was signed between the Bangkok Mass Transit System Public Company Limited ( BTSC ), a core business&nbsp;&nbsp;of the&nbsp; BTS Group,&nbsp;and&nbsp; Krungthep Thanakom Company Limited ( KT ),&nbsp;an enterprise owned by Bangkok Metropolitan Administration.<br /><br />BTSC&nbsp;&nbsp;has been&nbsp;appointed to operate and maintain the Silom Line Extension for commercial&nbsp;service&nbsp;,&nbsp;comprising of&nbsp;four &nbsp;new stations&nbsp;at&nbsp;Pho Nimit, Ratchada&nbsp;-Ratchapruek, Wuthakat and Bang Wa.&nbsp;&nbsp;All civil, electrical and mechanical works for the Silom Line extension,&nbsp;have been&nbsp;invested&nbsp;&nbsp;by&nbsp;&nbsp;Bangkok Metropolitan Administration,&nbsp;with&nbsp;completion&nbsp;scheduled&nbsp;for 2012.<br /><br />In this&nbsp;photo&nbsp;taken&nbsp; at the contract signing ceremony,&nbsp;from left : <strong>Mr. Amorn Kitchawengkul</strong>, Managing Director of KT; <strong>Assoc Prof. Prapunpong Vejjajiva</strong>, Chairman of KT; <strong>Mr. Keeree Kanjanapas</strong>, Chairman of BTSC and <strong>Mr. Surapong Laoha-Unya</strong>, Director &amp; Chief Operating Officer of BTSC.</p> ]]></description>

         <description><![CDATA[ Over 4,000 persons attended the <strong>Vegetarian Food Festival with Nuduan</strong> organized by the BTS Group and the BTS SkyTrain on 28th -30th September, 2011 at the walkway, National Stadium Station. The event provided many kinds of healthy vegetarian food and beverages served daily free -of- charge.          <description><![CDATA[ <p>At a ceremony held recently at the BTS Training Centre, 148 members of&nbsp; the&nbsp; management&nbsp; team&nbsp;&nbsp; from&nbsp; the&nbsp; four core businesses&nbsp; of the&nbsp; BTS Group ,&nbsp; consisting of&nbsp; Mass Transit, Property, Media and Service , received share warrants&nbsp; under the BTS Group ESOP 2011&nbsp; presented&nbsp; by Mr. Keeree&nbsp; Kanjanapas (4th left ), Chairman of the&nbsp; Board of Directors of BTS Group Holdings Public Company Limited . The purpose of this special&nbsp; staff&nbsp; privilege&nbsp; is&nbsp; to motivate company&nbsp; employees&nbsp; to dedicate&nbsp; themselves to participating in the future business growth&nbsp; of the group and to encourage them to&nbsp; improve&nbsp; work&nbsp; performance,&nbsp; resulting in better returns&nbsp;&nbsp; for&nbsp; the company and&nbsp; shareholders.          <description><![CDATA[ <p>Led by Chairman <strong>Mr. Keeree Kanjanapas</strong>, members of the Board of Directors of BTS Group and its subsidiaries, recently participated in a trial run of the BTS Sukhumvit Line Extension (Phase I) from On Nut to Bearing Station, a distance of 5.5 kilometers. The group inspected readiness of facilities at the five additional stations, Bang Chak, Punnawithi, Udom Suk, Bang Na and Bearing, which are scheduled to open for public service on 12th August 2011, offering free trips until 1st&nbsp; January 2012.</p>

         <title><![CDATA[ 27 July 2011, BTS Group makes second round of dividend payments ]]></title>

         <description><![CDATA[ <p><strong>Mr.Rangsin&nbsp; Kritalug</strong>, Executive Director and Chief Operating Officer of BTS Group Holdings Public Company Limited ( BTSG ) reported that the Company held it's&nbsp; Annual Shareholders Meeting at the Eastin Hotel Bangkok on 26th July 2011, chaired by <strong>Mr.Keeree Kanjanapas</strong>, Executive Chairman, with members of the&nbsp; Board of Directors also in attendance. The meeting presented shareholders with operating results for the fiscal year ended 31st March 2011, showing that the Company had a net income after corporate income tax, in the amount of Baht 4,840 million. The first round of dividend payments had already been made to shareholders in the amount of Baht 721 million&nbsp; on 24th&nbsp; March 2011 and the Company will pay remaining dividends for the fiscal year ended 31st March 2011 in the amount of Baht 1,295 million or at the rate of Baht 0.02264 per share&nbsp; ( or 2.264 Satang per share). This remaining dividends payment is scheduled to be made to shareholders on 5th August 2011. BTS Group has paid dividend twice, totaling Baht 2,015 million.<br /><br />Moreover, the meeting approved the reduction of the registered capital of the Company in the amount of 2,504 million shares, at a par value of Baht 0.64 per share, from the existing registered capital of Baht 49,420 million to Baht 47,818 million, by canceling the Company&rsquo;s unissued shares to accommodate specific investors. The meeting also approved&nbsp; an increase in the registered capital of BTS Group by 64 million Baht&nbsp; from the existing registered capital of Baht 47,818 million to Baht 47,882 million through the issuing of 100 million new ordinary shares at a par value of Baht 0.64 per share, in order to accommodate Warrants to be offered and issued to employees of the BTS Group and it's subsidiaries, under the <strong>'BTS Group ESOP 2011' </strong>scheme. The Objective of the<strong> 'BTS Group ESOP 2011' </strong>scheme is to enhance the morale of employees of the Company and to motivate them to become more dedicated to the Company and it's subsidiaries&rsquo; future business growth, thereby creating maximum returns for the shareholders of the Company.&nbsp;<br /><br />The Warrant&nbsp; Certificate No.1 for the purchase of ordinary shares of BTS Group to be issued to the employees of the Company and its subsidiaries will be registered certificates and non-transferable for 5 years from the issue date of the Warrants. Rights can then be exercised in the following 3 years, at a ratio of one unit of Warrant permitting purchase of one ordinary share at Baht 0.70.</p> ]]></description>

         <description><![CDATA[ <p>The Management and staff of companies in&nbsp; the&nbsp; BTS Group&nbsp; are&nbsp; extremely grateful to all&nbsp; who have kindly donated money&nbsp; to the relief fund for those affected by the devastating earthquake and tsunami in Japan.<br /><br />The total amount raised&nbsp; from&nbsp; contributions by BTS passengers between March 15th -30th 2011&nbsp; was&nbsp; Baht 2,214,778.50 ,&nbsp; which was combined with a donation from the BTS&nbsp; Group of&nbsp; Baht 1,259,172. All proceeds were recently presented to Channel 3 for Japan.<br /><br />The Company&nbsp; is&nbsp; also raising funds to support&nbsp; flood relief efforts in affected areas of&nbsp; southern Thailand, by installing donation boxes at all BTS stations. All money raised&nbsp; will be presented to TV 3, for distribution to people living in areas that&nbsp; have suffered most from the flooding.</p> ]]></description>

         <description><![CDATA[ <p>In accordance with CSR activities of the Group, the BTS Group supports the Thai Elephant Conservation Project which is under the patronage of Her Royal Highness Princess Galayani Vadhana. Previously, the BTS SkyTrain has organised CSR activities to help the promote the cause of Thai elephants, for example, special collection paintings by elephants that were printed on the BTS tickets and some of revenues were donated to the Thai Elephant Conservation Center.<br /><br />On the 8<sup>th</sup> January 2011, the Management team of the BTS Group, led by Khun Keeree Kanjanapas, Executive Chairman, presented a cash donation of THB 1,499,999 to the Thai Elephant Conservation Centre in Lampang province. The donations were contributed to both by BTS passengers and companies in the Group. The funds are donated to help support operations of the elephant hospital. <p><strong>BTS </strong><strong>Group Holdings Public Company Limited</strong> (&ldquo;BTS&rdquo;) reported to the Stock Exchange of Thailand (SET) that the company will issue 5,027,000,448 units of Warrants which will be allocated to the existing shareholders of the Company who have subscribed and were allocated the newly issued ordinary shares through the Right Offering offered pro rata to percentage holding, and the group of financial institution investors or the group of clients of securities companies who were the underwriters of the Company, who have subscribed and were allocated the shares unsubscribed by the shareholders under the existing shareholders, at the ratio of one unit of warrant to four newly issued ordinary shares subscribed according to the company&rsquo;s existing shareholders or underwriters.</p>
<p>One unit of the Warrant can be exercised to purchase one ordinary share at the exercise price of THB 0.70 per share (unless the exercise ratio or the exercise price is adjusted as specified in the terms and conditions governing rights and obligations of the warrant issuer and the warrant holders representing rights to purchase ordinary shares of BTS Group Holdings Public Company Limited No. 2 (BTS-W2). The Warrant will be expired within three years from the issuance date.</p>
<p>The warrant holders can obtain the Warrant Exercise Intention Notification Form at Securities</p>
<p>Depository, the Agent Receiving Exercise Intention and any securities company acting as a broker of the warrant holders or download the form from the Company&rsquo;s website</p>
<p>(www.btsgroup.co.th) and notify the intention to exercise the rights to purchase ordinary shares to the Company or the Agent Receiving Exercise Intention (if any). Such notification shall be made in accordance with the Notification Period.</p>

         <description><![CDATA[ <p><strong>BTS Group &ndash; Following the recent shareholders meeting during which BTS Group Holdings Public Company Limited (the Company) approved the issuance and allocation of up to 20,446.4 million new shares to current shareholders via a Rights Offering (RO). Mr. Keeree Kanjanapas, Chairman of the Company, revealed on June 1, 2010 that:</strong></p>
<p>&ldquo;The subscription period of the Rights Offering (RO) already began on May 31, 2010 and will conclude on Monday June 7, 2010. The Company has already sent the relevant documents to the shareholders. The documents can also be downloaded from the Company&rsquo;s website at <a href="http://www.btsgroup.co.th/">www.btsgroup.co.th</a> or please contact Phatra Securities Public Company Limited on business days from 8.30 a.m. to 4.30 p.m.&rdquo;</p>
<p>The Company approved the issuance of shares to existing shareholders (Rights Offering) at a ratio of 4 new shares for every 7 existing shares at the price of 0.63 baht per share and further allows interested shareholders to subscribe new shares beyond their rights. In case of any unsubscribed shares after the RO, the remainder will be offered via a &ldquo;private placement&rdquo; (PP).</p>
<p>In addition, to provide an incentive for the RO and/or PP subscription, the Company will issue warrants at a ratio of 1 warrant for every 4 new shares subscribed. These warrants are offered at no charge and have a maturity of 3 years, exercisable from the second anniversary of issuance at 0.70 baht per share. The Company expects to issue the said warrants within October 2010.</p>
<p>In the event the Company issues 20,446.4 million new shares, it will receive total proceeds of approximately 12,881.3 million baht which will be used to repay outstanding bank loans.</p>
<p>Furthermore, on June 1, 2010, the Company and Bangkok Mass Transit System Public Company Limited (BTSC) submitted their Annual Financial Statements for the year ending March 31, 2010 to the Stock Exchange of Thailand. BTSC total revenue (excluding extraordinary revenue, gain from the sale of its investment in subsidiary and the income from subsidy of defective works) grew by more than 11% to 4,913.8 million in fiscal year 2010 from 4,411.9 million baht in the fiscal year 2009. The Company&rsquo;s increasing revenue resulted primarily from increasing BTS Skytrain passengers following the inauguration of the Silom Line extension to Thonburi as well as the increased contribution from the company&rsquo;s media and advertising business of VGI Global Media Company Limited.</p> ]]></description>

<p><strong>Mr. Keeree Kanjanapas, Chairman of BTS Group Holdings Public Company Limited (the Company)</strong>, said referring to the Company&rsquo;s acquisition of 15,022.33 million shares of <strong>Bangkok Mass Transit System Public Company Limited (BTSC)</strong> or 94.60% of BTSC&rsquo;s total paid-up shares at the price of 2.665 baht apiece or 40,034.53 million baht totally, that the Company has already paid 20,655.71 million baht for the transaction in cash and issued 28,166.88 million new shares at 0.688 baht per share or a total of 19,378.81 million baht to pay for the remainder. The Company&rsquo;s SET listing has been changed to Transportation and Logistics sector under Service industry and the new stock begins trading on the exchange on May 11, 2010 under a new trading ticker <strong>&ldquo;BTS&rdquo;</strong>.</p>
<p>Mr. Keeree added, &ldquo;Following the acquisition of BTSC shares, the Company and its shareholders will benefits from the consistently strong performance and high growth potential of BTSC&rsquo;s skytrain business while the expected increase in market capitalization and liquidity will make the shares more attractive to domestic and foreign institutional investors as well as retail investors. In addition, this transaction will enhance the Company&rsquo;s competitiveness in real estate business by leveraging the Comapany&rsquo;s experience in developing and managing real estate projects of BTSC.&rdquo;</p>
<p>&ldquo;After the acquisition,&rdquo; he continued, &ldquo;the Company will engage in 4 main businesses, namely <strong>(1) Mass Transit Business</strong> under the management of BTSC, such as BTS SkyTrain and BRT bus system, <strong>(2) Property Development Business</strong> under joint management of BTSC and the Company, including condominium, service apartment, and hotel projects along and beyond existing BTS route and its future extensions, <strong>(3) Advertising Space Business</strong> under the management of <strong>VGI Global Media Company Limited (VGI</strong><strong>)</strong>, covering management and merchandising of advertising space inside BTS trains and on the train body, advertising and business space on BTS stations, as well as advertising space in leading hypermarkets, and <strong>(4) Services Business</strong>, such as smartcard business under the management of <strong>Bangkok Smartcard System Company Limited (BSS)</strong>, as well as hotel management and construction contracting.</p>
<p>&ldquo;Under the new business structure, the Company will be blessed with the efficiency to achieve greater performance and at the same time meet the lifestyle needs of Bangkokians better and optimize benefits for the shareholders,&rdquo; Mr. Keeree concluded.</p>
<p>The Company is currently in process to issue 20,446 million new shares via a rights offering (RO) at a ratio of 4 new shares for every 7 existing shares. The new shares will be offered at the price of 0.63 per share and the subscription will be open on business days from May 31 to June 7, 2010. In case of unsubscribed shares after the RO, the remainder will be offered via a private placement (PP). With full subscription of the RO and PP (if any) shares, the Company will receive total proceeds of approximately 12,000 million baht, which will be used to partially repay loan secured previously by the Company to finance the acquisition of BTSC&rsquo;s shares. <p>On the same day, TYONG&rsquo;s Board of Directors has also approved the issuance of shares via a Rights Offering (&ldquo;RO&rdquo;) of Baht 12,000 million which will take place after the acquisition of BTSC. The RO shares will be offered at the ratio of 4 new shares for every 7 existing shares at the offering price of Baht 0.63 per share and the subscription period from 27 May 2010 to 7 June 2010. In case there are unsubscribed rights, the Company will offer the remaining shares through a Private Placement (&ldquo;PP&rdquo;). If the RO and PP (if any) are fully subscribed, the Company will receive total proceeds of approximately Baht 12,000 million which will be used to partially repay the Company&rsquo;s loan. Furthermore, to provide an incentive for the RO and/or PP subscription, the Company will issue warrants at a ratio of 1 warrant for every 4 new shares subscribed in the RO and/or PP. These warrants are offered at no charge and have a maturity of 3 years, exercisable from the second anniversary of issuance at Baht 0.70. Mr. Keeree and Mr. Kavin Kanjanapas have also stated their intention to subscribe for their allocated portion in the RO to maintain their shareholding in the Company.</p>
<p>Mr. Keeree further added, &ldquo;After the acquisition of the BTSC shares, the Company&rsquo;s scope of business will broaden and its asset size will increase significantly. The Company and its shareholders will reap benefits from the consistently strong performance and high growth potential of BTSC&rsquo;s skytrain business. Furthermore, the potential increase in market capitalization and liquidity will enhance attractiveness of its shares to domestic and foreign institutional investors as well as retail investors. In addition, this transaction will enhance the Company&rsquo;s competitiveness in real estate business by leveraging TYONG&rsquo;s experience in developing and managing real estate projects of BTSC.&rdquo;</p>
<p>&ldquo;The Company will engage in 4 main businesses, namely (1) Mass Transit Business such as BTS SkyTrain, (2) Management of advertising space inside BTS trains and on the train body, merchandising and advertising space on BTS stations, as well as the advertising space in leading hypermarkets, (3) Property development business such as developing real estate along and beyond the BTS route, including hotels and serviced apartments, and (4) Services business such as hotel management, project management, and smartcard business.</p>
<p>As for the details of BTSC acquisition, the Company will acquire 15,022.3 million shares or 94.60% of the total paid up shares in BTSC for a total consideration of Baht 40,034.53 million from Siam Capital Developments (Hong Kong) Limited, Keen Leader Investments Limited and Mr. Keeree, and carry out the entire business transfer from Siam Rail Transport and Infrastructure Limited. Of the total consideration value, Baht 20,655.71 million (approximately 51.59% of the total consideration) will be paid in cash while the remaining will be paid with 28,166.88 million newly issued shares of TYONG at Baht 0.688 per share or equivalent to Baht 19,378.81 million (approximately 48.41% of the total consideration). The Company will borrow Baht 22,000 million from a financial institution to finance the cash consideration and utilize the remaining loan as working capital.</p>
<p>After the acquisition of BTSC shares, the Company&rsquo;s shareholding structure will change. While Mr. Keeree and Mr. Kavin Kanjanapas, in aggregate, will remain as the major shareholding group with 41.46% of total paid up shares of TYONG. There will also be two new groups of major shareholders, namely funds managed by Ashmore Investment Management Limited and funds managed by Farallon Capital Management, L.L.C., both of which are existing shareholders of BTSC.          <title><![CDATA[ 23 March 2010, Tanayong Announces Plan to Acquire Bangkok Mass Transit System (BTSC) ]]></title>

         <description><![CDATA[ <p><strong>Bangkok</strong><strong>, March 23, 2010</strong> &ndash; <strong>Tanayong Public Company Limited (&ldquo;TYONG&rdquo; or the &ldquo;Company&rdquo;) announced the acquisition plan of Bangkok Mass Transit System (&ldquo;BTSC&rdquo;) and to negotiate and enter into agreements to acquire shares of BTSC from its existing shareholders. The announced transaction is aimed at enhancing the Company&rsquo;s competitiveness in the real estate development business, increasing the attractiveness of the Company&rsquo;s shares through increased market capitalization and liquidity as well as reaping benefits from the strong performance and high growth potential of BTSC&rsquo;s skytrain business.</strong></p>
<p>Mr. Keeree Kanjanapas, Chairman of the Board of Directors of TYONG, today announced that TYONG&rsquo;s Board of Directors has approved the BTSC acquisition plan, in which the Company will negotiate and enter into agreements to acquire 15,022.3 million shares or 94.60% of total paid-up shares in BTSC for total consideration value of Baht 40,034.53 million. Under the plan, the Company will acquire BTSC shares from Siam Capital Developments (Hong Kong) Limited, Keen Leader Investments Limited and Mr. Keeree, and carry out the entire business transfer from Siam Rail Transport and Infrastructure Limited. Out of the total consideration value, Baht 20,655.71 million (approximately 51.59% of the total consideration) will be paid in cash while the remainder will be paid with 28,166.88 million newly-issued shares of TYONG at Baht 0.688 per share or equivalent to Baht 19,378.81 million (approximately 48.81% of the total consideration) instead of cash. The Company will borrow Baht 22,000 million from a financial institution to finance the amount of cash consideration and use the remainder as working capital.</p>
<p>After the acquisition of BTSC shares, the Company plans to do a Rights Offerings of Baht 12,000 million to partially repay the loan. In case there are unsubscribed rights, the Company will offer the remaining portion through a Private Placement. To make the offering more attractive and to encourage shareholders to subscribe to the Rights Offering, the Company will also issue warrants at no charge to those who subscribe to the Rights Offering or Private Placement. These warrants will have a maturity of 3 years, exercisable from the end second year with the exercise price of Baht 0.70. The share acquisition and the entire business transfer are expected to be completed within early May 2010, subject to the approval from the Extraordinary General Meeting of Shareholders to be held on 29 April 2010 (the &ldquo;EGM&rdquo;) and related authorities and the fulfillment of other conditions precedent.</p>

<p>Mr. Keeree further added, &ldquo;The acquisition of BTSC shares will broaden the Company&rsquo;s scope of business and greatly increase its asset size. Currently, BTSC has the total asset of Baht 55,401.50 million or approximately 7.3<strong> </strong>times the size of TYONG&rsquo;s total assets. The decision to acquire BTSC shares is made on the basis that the acquisition will enhance both companies&rsquo; competitiveness in the real estate business by leveraging TYONG&rsquo;s experience in developing and managing real estate projects to BTS properties, increase the attractiveness of its shares with the increased market capitalization and liquidity, as well as reap benefits from the strong performance and high growth potential of BTSC&rsquo;s skytrain business. The Company believes that this acquisition will strengthen the Company&rsquo;s operating performance, and hence, greatly benefits its shareholders.&rdquo;</p>
<p>&ldquo;The Company&rsquo;s management believes that BTSC&rsquo;s skytrain business is a great business with high growth potential. Since the commencement of its operation in 1999, BTSC&rsquo;s revenue and the number of passengers has continued to grow over the years. Presently, BTS provides service to over 450,000 passengers per weekday. And to support the increasing demand of its skytrain service, BTS has a plan to increase its capacity by almost 50%, allowing it to serve more passengers, especially during the rush hour. In addition, BTS will directly benefit from the future government mass transit projects as these projects will feed more passengers into the skytrain system currently operated by BTS under the concession with BMA. Furthermore, BTS, as a single operator, has an advantage in operating these extension routes as it will be able to operate more efficiently and provide better service to the passengers. Therefore, we believe that BTSC will be able to strengthen the operating performance of the Company and generate stable return to the Company&rsquo;s shareholders.&rdquo;</p>
<p>As for the cooperation in real estate development business between TYONG and BTSC, Mr. Keeree further added, &ldquo;The Company could also leverage its extensive experience and expertise in real estate development, ranging from project feasibility study and planning, project management, construction to post-construction operation, to BTSC&rsquo;s property projects, all of which are situated in high-potential locations in central Bangkok, along the BTS route.&rdquo;</p>
<p>After the acquisition of BTSC shares, TYONG&rsquo;s shareholding structure will change. While Khun Keeree and Mr. Kavin Kanjanapas will still be the major shareholding group with 41.46% of total paid up shares of TYONG, there will be two new groups of major shareholders, namely funds managed by Ashmore Investment Management Limited and Funds managed by Farallon Capital Management, L.L.C., both of which are the existing shareholders of BTSC.
